Service Company Terms and Conditions
These Terms govern access to and use of the platform by any Service Company, contractor business, service provider organization, franchise, trade company, maintenance company, repair company, cleaning company, or other business entity utilizing the platform to manage operations, customers, technicians, scheduling, dispatching, work orders, invoicing, payments, subscriptions, memberships, warranties, reporting, and related business activities.
1. Eligibility Requirements
The Service Company represents and warrants that it is a legally established business entity, possesses all required business registrations, possesses authority to enter into these Terms, that all information provided is accurate, and that it will promptly update any information that changes. The platform reserves the right to request verification documentation at any time.
2. Company Account Registration
To access the platform, the Service Company shall provide accurate registration information including but not limited to:
- Legal company name
- DBA name
- Physical address
- Mailing address
- Telephone numbers
- Email addresses
- Tax identification number
- Website information
- Licensing information
- Insurance information
- Authorized representative information
Providing false, misleading, incomplete, or fraudulent information may result in suspension or termination.
3. Authorized Users
The Service Company may authorize personnel to access the platform including owners, officers, managers, dispatchers, customer service representatives, billing personnel, technicians, contractors, and subcontractors. The Service Company remains fully responsible for all activities conducted through its account regardless of who performs them.
4. Technician Management
The Service Company is solely responsible for all technicians, employees, contractors, subcontractors, and agents operating under its account, including hiring, training, scheduling, supervision, compensation, licensing verification, insurance verification, background screening, safety compliance, and workmanship monitoring.
5. Service Area Management
The Service Company shall accurately identify service territories, states served, counties served, cities served, ZIP codes served, emergency service areas, and trade specialties. The Service Company shall not misrepresent its ability to serve a particular area.
6. Customer Information
The Service Company agrees to collect, maintain, and process customer information responsibly. Customer information may include names, addresses, telephone numbers, email addresses, property information, service history, equipment information, photographs, and documents. The Service Company shall use customer information solely for legitimate business purposes.
7. Work Orders and Dispatch
The Service Company shall be responsible for creating, managing, assigning, monitoring, updating, and closing work orders, and ensuring information remains accurate and current.
8. Estimates and Invoices
Estimates shall be accurate and truthful. Charges shall be clearly disclosed. Hidden fees shall not be imposed. Additional work shall be authorized before performance. Invoices shall accurately reflect services performed. Fraudulent billing practices are strictly prohibited.
9. Payment Processing
The Service Company may utilize platform payment services and authorizes the platform and its payment processors to process payments, transfer funds, deduct applicable fees, process refunds, and resolve disputes. The Service Company remains responsible for tax reporting and tax compliance.
10. Subscription Fees
Access to certain platform functionality may require payment of monthly subscription fees, annual subscription fees, marketplace fees, transaction fees, processing fees, and add-on service fees. All fees are non-refundable unless otherwise stated.
11. Reviews and Ratings
Customers may submit reviews and ratings concerning services received. Reviews may be displayed publicly, ratings may impact visibility and work opportunities, and fraudulent review manipulation is prohibited.
12. Prohibited Activities
The Service Company shall not engage in fraud, false advertising, identity misrepresentation, falsified work orders, falsified invoices, fake reviews, harassment, discrimination, data theft, unauthorized access, illegal activities, circumvention of platform fees, or misuse of customer information.
13. Data Privacy
The Service Company shall comply with all applicable privacy and data protection laws, protect customer information, restrict access to authorized personnel only, use customer data solely for legitimate business purposes, implement reasonable administrative, technical, and physical safeguards, report unauthorized access or data breaches promptly, and maintain confidentiality of customer records.
14. Intellectual Property
All rights, title, and interest in the platform remain the exclusive property of the platform, including software, mobile applications, source code, object code, trademarks, logos, trade names, workflows, documentation, databases, user interfaces, and platform designs.
15. Platform Availability
The platform will use commercially reasonable efforts to maintain platform availability. Interruptions may occur due to maintenance, updates, software changes, security incidents, internet outages, third-party service failures, or force majeure events.
16. Account Suspension
The platform may suspend access for reasons including non-payment, fraudulent activity, licensing deficiencies, insurance deficiencies, security concerns, customer complaints, violation of platform policies, regulatory concerns, or illegal conduct.
17. Account Termination
The platform may terminate accounts for material breach of these Terms, fraud, repeated policy violations, criminal conduct, misuse of customer information, unauthorized access, payment defaults, or regulatory violations. Upon termination, platform access may cease immediately and outstanding fees remain due.
18. Disclaimer of Warranties
The platform is provided on an "AS IS" and "AS AVAILABLE" basis. The platform makes no guarantee regarding revenue generation, business growth, customer acquisition, technician availability, work order volume, platform compatibility, continuous operation, or error-free operation.
19. Limitation of Liability
To the fullest extent permitted by law, the platform shall not be liable for lost profits, lost revenue, lost business opportunities, business interruption, loss of data, customer disputes, technician disputes, property damage, personal injury, indirect damages, consequential damages, incidental damages, or special damages. The platform's total liability shall not exceed the amount paid by the Service Company during the twelve (12) months preceding the claim.
20. Indemnification
The Service Company agrees to indemnify, defend, and hold harmless the platform and its officers, directors, employees, affiliates, agents, successors, and assigns from claims arising out of services performed, technician conduct, customer disputes, regulatory violations, employment claims, property damage, personal injury, data breaches caused by the Service Company, violations of these Terms, and intellectual property violations.
21. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws designated by the platform.
22. Changes to Terms
The platform reserves the right to modify, update, or revise these Terms at any time. Changes may be communicated through platform notifications, email communications, website postings, or account messages. Continued use following notice constitutes acceptance.
23. Acceptance of Terms
By registering for, subscribing to, accessing, or using the platform, the Service Company acknowledges and agrees that it has read, understood, and agreed to be bound by these Terms and that it has authority to bind the Service Company.
